Agreement to These Terms
These Terms and Conditions govern the use of the Celvanta Zodiac website, contact forms, service pages, proposals, communications, invoices, project files, and any services provided by Celvanta Zodiac. By visiting the website, submitting an inquiry, requesting a quote, purchasing a service, approving a proposal, or continuing communication about a project, you agree to these Terms.
Celvanta Zodiac provides digital marketing, social media management, brand identity, content strategy, paid advertising support, campaign planning, landing page direction, email marketing setup, reporting, and related creative and strategic services. These Terms apply to website visitors, prospective clients, active clients, and anyone using the site or relying on information provided by the company.
Services and Project Scope
Service descriptions shown on the website are general descriptions of what Celvanta Zodiac may provide. Final deliverables, pricing, timelines, revision limits, campaign responsibilities, account access requirements, and payment terms are controlled by the written proposal, invoice, order confirmation, statement of work, or other written agreement accepted by the client.
Anything not expressly included in the accepted scope is outside the project. Out-of-scope work may include additional revisions, new creative directions, new advertising platforms, additional landing pages, emergency turnaround, custom development, legal review, compliance review, photography, video production, influencer management, or operational customer support.
Client Responsibilities
The client is responsible for providing accurate business information, timely feedback, required approvals, platform access, brand assets, product or service details, advertising account permissions, audience information, legal requirements, and any materials needed to complete the project.
The client is also responsible for the accuracy and legality of claims, offers, prices, testimonials, guarantees, business statements, advertising disclosures, product descriptions, privacy notices, and industry-specific requirements. Celvanta Zodiac may help with strategy, structure, presentation, and wording, but final approval and compliance remain the client’s responsibility.
Payments, Deposits, and Billing
Payments may be required upfront, by deposit, by milestone, monthly, or according to the written agreement. Work may not begin until the required payment is received. Failure to pay may result in paused work, delayed delivery, suspended services, cancellation of scheduled content, removal from the production calendar, or termination of the engagement.
Advertising spend, media budgets, platform charges, software subscriptions, stock assets, paid applications, hosting, plugins, contractors, and third-party expenses are not included unless expressly stated in writing.
Revisions and Approvals
Revisions are included only as stated in the accepted scope. A revision means a reasonable adjustment to work already created within the approved direction. A revision does not mean a completely new strategy, new brand concept, new campaign structure, new platform setup, or replacement of previously approved work.
Once the client approves a deliverable, campaign, design, content plan, copy, or strategy, Celvanta Zodiac may treat that item as final. Changes after approval may require additional fees and may extend the timeline.
No Guaranteed Results
Celvanta Zodiac works to provide professional, strategic, and commercially reasonable marketing services. However, marketing results depend on many factors outside our control, including platform algorithms, audience behavior, advertising budget, competition, offer quality, landing page speed, client approvals, product-market fit, pricing, seasonality, and market conditions.
Celvanta Zodiac does not guarantee specific sales, revenue, followers, leads, engagement, conversion rates, advertising approval, account approval, return on ad spend, search ranking, or business outcome.
Third-Party Platforms
Services may involve social media platforms, advertising platforms, analytics tools, email marketing systems, website builders, payment processors, scheduling tools, and other third-party software. Celvanta Zodiac does not control those platforms and is not responsible for outages, rejected ads, disabled accounts, reporting errors, policy changes, algorithm changes, billing issues, or loss of access caused by third parties.
The client is responsible for complying with the terms, policies, advertising rules, privacy rules, and technical requirements of all third-party platforms used in connection with the client’s business.
Intellectual Property and Portfolio Use
Unless otherwise agreed in writing, Celvanta Zodiac retains ownership of internal processes, strategy frameworks, templates, drafts, rejected concepts, working files, research methods, and production systems. After full payment is received, the client receives the usage rights stated in the accepted agreement for final approved deliverables.
Unless confidentiality is requested in writing and accepted by Celvanta Zodiac, completed work, non-confidential deliverables, general project summaries, and visual examples may be used in the company’s portfolio, proposals, presentations, or marketing materials.
Limitation of Liability
To the fullest extent permitted by law, Celvanta Zodiac is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, loss of business opportunity, advertising account loss, platform suspension, reputational harm, or business interruption.
Celvanta Zodiac may refuse, pause, or terminate service if a client fails to pay, provides false information, requests unlawful or deceptive work, violates platform rules, behaves abusively, delays approvals repeatedly, or uses work in a misleading or unlawful manner.
